Robinhood is looking to hire an experienced attorney to lead our Corporate Legal team. This role will report to Robinhood's Deputy General Counsel of Corporate, Commercial and M&A. We are looking for a highly adaptable and collaborative team leader. What you’ll do

  1. Lead and develop the attorneys and paralegals comprising our Corporate Legal function as we continue to establish and evolve our public company policies, practices and processes
  2. Advise on and oversee preparation of 10-Ks, 10-Q, 8-Ks, proxy statements, registration statements, and other filings
  3. Support our Investor Relations, Communications, and External Reporting teams on quarterly earnings releases, Reg FD compliance and other public disclosures
  4. Advise on and administer certain corporate and executive policies and programs, such as the insider trading policy and employee trading and 10b5-1 plans
  5. Plan and oversee our annual stockholders’ meeting, including preparation of agenda, scripts, and related materials, and coordination with stakeholders
  6. Lead global corporate administration efforts, including compliance with relevant international, federal, state and regulatory laws, oversee maintenance of foreign and domestic subsidiaries, support international expansion, and advise on entity structuring and related treasury and capitalization matters
  7. Support corporate governance matters, including preparation of materials for Board and Committee meetings, onboarding of new directors, the director compensation program, and related activities
  8. Advise on and oversee all legal aspects of corporate transactional matters, including M&A, investments, credit facilities, equity and debt offerings and other corporate finance transactions
  9. Counsel on a range of related corporate matters such as executive compensation, equity plans, stock administration and related policies
  10. Collaborate with Regulatory and Product Legal team members to support global brokerage, crypto, credit and cash management products and operations as needed
  11. Collaborate cross-functionally with Finance, Investor Relations, Corporate Development, HR and Compensation, Communications, Treasury, Capital Markets, Tax, Stock Administration, ESG, senior leadership and other members of the Robinhood team
  12. Partner with outside counsel with an eye toward driving our business goals and provide world-class counseling, while effectively managing time and cost

What you bring

  1. J.D. degree from an ABA-accredited law school (or foreign equivalent)
  2. Membership (in good standing) in at least one U.S. state bar
  3. 12+ years of corporate law experience, with particular focus on securities law compliance, public company listing standards and practices, corporate governance and corporate transactions
  4. Experience building and leading world-class legal teams, including supervising other lawyers and paralegals
  5. Substantial in-house experience at a publicly-traded company, with relevant prior experience from a top law firm
  6. Comfortable working in a dynamic, rapidly-changing environment
  7. Extraordinary interpersonal and communication skills; phenomenal ability to communicate information effectively (internally and externally) and to drive cross-functional alignment and action
  8. Execution-oriented mindset with the humility, drive, and scrappiness to get things done

Bonus Points

  1. Experience with global technology, and/or financial services companies
  2. Experience with newly-listed public companies
  3. Membership in the California State Bar

Base pay for the successful applicant will depend on a variety of job-related factors, which may include education, training, experience, location, business needs, or market demands. The expected salary range for this role is based on the location where the work will be performed and is aligned to one of 3 compensation zones. This role is also eligible to participate in a Robinhood bonus plan and Robinhood’s equity plan. For other locations not listed, compensation can be discussed with your recruiter during the interview process.

$255,000—$300,000 USD

Zone 2 (Denver, CO; Westlake, TX; Chicago, IL)

$224,000—$264,000 USD

Zone 3 (Lake Mary, FL)

$199,000—$234,000 USD
